RE:FI STHLM advises on SEK 1.75 billion term loan facility for major Swedish Forest JV

RE:FI STHLM has advised Svenska Handelsbanken AB (publ) and Stadshypotek AB (publ) on a SEK 1,750,000,000 term loan facility intended to partially finance the acquisition of approximately 175,000 hectares of Swedish forest assets from Stora Enso. The overall transaction is valued at about EUR 900 million (approx. SEK 9.8 billion), representing 12.4 % of Stora Enso’s Swedish forest holdings and is one of the largest forest property deals in Sweden in recent history.

The acquirers consist of a consortium where Soya Group holds approximately 40.6 %, a MEAG-led consortium holds about 44.4 %, and Stora Enso retains a 15 % stake.

RE:FI STHLM provided full legal counsel to the lenders throughout the transaction. Our role included drafting the commitment documentation in connection with signing in spring 2025, and negotiating and finalising the full facility and security documentation executed at closing.
